What is Sale Agreement Drafting & Review in Bangalore?

A sale agreement — also called an agreement to sell or agreement of sale — is the contract a buyer and seller sign after agreeing on a price and before the sale deed is registered. It does not transfer ownership. What it does is fix the terms of the deal: the price, the advance paid today, when and how the balance will be paid, when the seller will hand over the original documents and possession, what happens if either side backs out, and the date by which the sale deed must be registered. In Bangalore it is also the document your bank reads when it sanctions a home loan, so a vague agreement can hold up the loan as well as the deal. Most disputes between buyers and sellers are disputes about what this agreement said, or failed to say. Sevantay drafts the agreement from your agreed terms, or reviews a draft prepared by the seller, builder or broker, and flags the clauses that leave you exposed before you sign and pay.

When Do You Need This Service?

  • You have agreed a price on a resale flat, house or plot and are about to pay a token or advance
  • The seller, broker or builder has sent you their draft and you want it checked before signing
  • Your bank needs a stamped sale agreement to process a home-loan sanction
  • The deal has a long gap between advance and registration — for example, the seller must first close their own loan or get documents released from a bank
  • You are the seller and want the buyer's payment deadlines and forfeiture terms written down
  • Part of the price is being paid by cheque or bank transfer in stages and each milestone needs to be recorded

Types of Sale Agreement Drafting & Review in Bangalore

Fresh drafting

We draft the agreement from the terms you and the other side have agreed, using the property details from the title documents, and send it for both parties to review.

Buyer-side review

You send the draft the seller or builder prepared. We return it with marked-up clauses and a short note explaining each risk: missing title warranties, one-sided forfeiture, open-ended timelines.

Seller-side review

For sellers: we check that payment deadlines, the consequences of buyer default and the handover of original documents are clear, so you are not stuck with a stalled buyer.

Revision after negotiation

One round of revisions after the parties negotiate is included. Further rounds, or a substantially re-negotiated deal, are quoted separately.

Documents Required

  • Seller's title deed (the sale deed or other document by which the seller acquired the property)
  • Latest khata certificate / extract and property tax paid receipt
  • Encumbrance Certificate, if already obtained
  • Aadhaar and PAN of every buyer and seller (all co-owners must sign)
  • The agreed price, advance amount, payment schedule and target registration date
  • Loan details if the seller's property is mortgaged, or if the buyer is taking a home loan
  • The existing draft, if you want a review rather than fresh drafting

Step-by-Step Process

1

Share the deal terms and documents

Send the agreed price, advance, schedule and the seller's title documents on WhatsApp. For a review, send the draft you received.

2

Property description checked against title

We match the schedule (survey or site number, measurements, boundaries, khata number) against the title deed, so the agreement describes the property the seller actually owns.

3

Draft or marked-up review delivered

You receive an editable draft, or the other side's draft with our comments, usually within 2 working days of complete documents.

4

One round of revisions

After both parties discuss it, we fold the agreed changes into a final version.

5

Stamp duty confirmed and e-stamp arranged

We confirm the stamp duty under the Karnataka Stamp Act for your case (it depends on whether possession is being handed over) and can arrange the e-stamp paper.

6

Signing, and optional registration

Both parties sign before two witnesses. If you want the agreement registered, we coordinate the sub-registrar appointment as a separate step.

Cost Factors

Pricing depends on several factors specific to your situation:

  • Fresh drafting and review are the same fee; a heavily negotiated deal needing several rounds is quoted separately
  • Stamp duty is a government charge paid on the agreement itself and is not part of our fee
  • Registering the agreement (optional in many cases) adds registration fees and an appointment
  • A builder's standard agreement for an under-construction flat is longer and is quoted after we see it

Transparent pricing: Your Sevantay professional will provide a clear cost estimate before starting work. You pay only after the service is completed to your satisfaction.

Indicative Cost Breakdown

Component Typical Cost
Sale agreement drafting OR review (one revision round), including GST ₹3,000
Additional revision rounds / re-negotiated terms Quoted on request
Stamp duty on the agreement (Karnataka Stamp Act) At actuals — depends on possession
Registration of the agreement (optional) Government fee at actuals + appointment support quoted separately

* Costs are indicative and may vary based on your specific requirements. Government fees are subject to revision.

How this works in Bangalore

In Bangalore the agreement usually sits between two other checks: the Encumbrance Certificate from the Kaveri portal and the khata record, both of which should match the property schedule in the agreement. A common problem on resale flats is that the agreement copies the flat number and area from the builder's brochure rather than from the registered deed, and the two disagree. We draft from the registered title, not from marketing material.

If the seller's property is mortgaged — very common in the city — the agreement should say which bank holds the originals, how much of the price goes directly to that bank to close the loan, and when the release letter and originals will be handed over. Leaving this out is one of the most frequent reasons registrations slip by weeks.

Sevantay is a private facilitation platform, not a government body. We prepare, file and follow up on your application through our verified professional network; approvals, timelines and official fees are decided by the authority concerned.

Pro Tips from Our Experts

  • Pay the advance by bank transfer and record the transaction reference in the agreement — never in cash.
  • Every co-owner of the property must sign. An agreement signed by one of two co-owners binds only that one.
  • Put a long-stop date for registration and say what happens to the advance if it passes.
  • If a power of attorney holder is signing for the seller, get a copy of the registered POA and check it covers sale.

Frequently Asked Questions

Is a sale agreement the same as a sale deed?

No. The sale agreement is a promise to sell on agreed terms; ownership does not move. The sale deed, registered at the sub-registrar office, is what actually transfers ownership. The agreement comes first and sets the rules for getting to the sale deed.

Does a sale agreement need to be registered in Karnataka?

Not in every case. But an unregistered agreement cannot be relied on for protection of part-performance under Section 53A of the Transfer of Property Act, and if possession is handed over under the agreement, stamp duty is charged as it would be on a sale. We tell you which applies to your deal before you sign.

Can you review a builder's agreement for an under-construction flat?

Yes. Builder agreements are long and written for the builder. We check the possession date and delay compensation, the payment-linked-to-construction schedule, cancellation and refund terms, the carpet area definition and RERA references. Because these run to many pages, the fee is confirmed after we see the draft.

Are revisions included?

One round of revisions after the parties discuss the draft is included in the ₹3,000 fee (GST included). If the deal is substantially re-negotiated, or several rounds are needed, we quote the extra work before doing it.

What should a buyer never sign without?

A written title warranty from the seller, a clear list of the original documents to be handed over and when, a fixed date for registration, what happens to the advance if the seller cannot deliver clear title, and a statement that the property is free of loans and dues — or how existing loans will be closed from the sale money.

Should I get the property verified before or after signing?

Before paying a large advance. An Encumbrance Certificate and a legal opinion on the title take a few days and are cheap compared with an advance stuck in a dispute. If time is short, the agreement can make the deal conditional on a clean title report.

How does ownership actually transfer?

Most buyers in Bangalore spend weeks looking at a property and minutes reading the sale agreement. That is backwards. The agreement is the only document that governs the period between the advance and the registration — the period in which almost every dispute starts. A seller who finds a better offer, a bank that will not release the originals on time, a co-owner who never agreed to sell: these are all agreement problems before they become legal ones.

A good agreement to sell answers five questions without ambiguity. What exactly is being sold, described as the title deed describes it? How much is being paid, when, and how? When will the seller hand over originals and possession? What happens if either side defaults — is the advance refunded, forfeited, or doubled? By what date must the sale deed be registered? For the buyer it should also carry the seller's promise that the title is clear and the property is free of loans, dues and litigation, with an indemnity if that turns out to be false.

Sevantay prepares the agreement from your agreed terms or reviews the one you have been given, for ₹3,000. We do not negotiate the price or represent either side in a dispute; we make sure the document says what you have actually agreed. When you are ready for the next step, our sale deed drafting and property registration services take the same file forward.
